Company Name (Misr Oils & Soap) economic unit of public sector units wholly state - owned, then owned by the Holding Company for Food Industries , according to Gan Wen public sector companies No. 203 of 1991 and its executive regulations the company issued its statute as a subsidiary of the Holding Company for Food Industries Ras m the authorized 30 million pounds and the capital source of 20 million distributed over 400 thousand shares the values of each share fifty pounds and published in the Egyptian Gazette number 2 , 98/5/1993.

The authorized capital of the company was amended to 60 million pounds and the payment of 45 million pounds distributed over 4500000 shares worth 10 pounds each , and published in the Egyptian facts No. 170 dated 29/3/1995, and then modified the company's issued capital to 60 million pounds distributed on 6 million shares worth each share 10 pounds and the publication of Egyptian facts No. 170 (continued) on August 1, 1996 .

On August 5, 1996, the Extraordinary General Assembly of the Holding Company approved the program to expand the ownership base and sell 51% of the company's shares according to the privatization program headed by the Prime Minister on 27/7/1996. The registration was registered on the official table of the Egyptian Stock Exchange on 4/8/1998. 1996 and the company came out of the scope of application of the provisions of the Public Sector Business Law referred to and became subject to the Law of Joint Stock Companies No. 159 of 1981 .

The Company's Articles of Association have been amended in accordance with the provisions of the Companies Law No. 159 of 1981 and its Executive Regulations and the promulgation of the Articles of Association No. 1888 in September 1998.

The duration of the company is fifty years from the date of registration in the Commercial Register on 22/6/1998 under the provisions of Law 159 of 1981.

The fiscal year begins on the first of July of each year and ends on 30 June .

The company is audited by the Central Auditing Organization and the auditor appointed by the general assembly of the company (Dr. Abdel Aziz Hegazy & Co.).

According to the Company's Articles of Association and Law No. 159 of 1981 and its Executive Regulations, the General Assembly shall convene within three months at the latest for the end of the fiscal year. The Board of Directors may decide to invite the General Assembly whenever necessary.

The Company implements the principles of governance by sending quarterly data to the Financial Supervisory Authority (EFSA) as well as the quarterly audit committee's decisions as a committee emanating from the Board of Directors of the Company

The General Assembly shall decide annually on the value of the authorized donation in excess of one thousand pounds.

Subject to the provisions of the laws, regulations and resolutions in force and provided that the necessary licenses are issued for the exercise of these activities.

The company may have an interest or participate in any way with companies and others that carry out works similar to its work or which cooperate to achieve its purpose in Egypt or abroad. It may also be incorporated into or purchased in whole or in part in accordance with the provisions of the law and its executive regulations .
