1.1 FeedsFloor is a global social platform facilitator for companies, organizations and professionals (hereinafter “FeedsFloor”, “we,” or “us”), providing a platform where companies can easily promote themselves and connect with potential customers, agents, distributors and suppliers from all over the world enabling new business opportunities (hereinafter the “Platform”).
1.2 Our address is Sallingvej 18, 3.tv., 2720 Vanløse, Denmark, and the Platform is owned by FeedsFloor ApS. FeedsFloor’s company registration number is 37688932. FeedsFloor can be contacted at feedsfloor@feedsfloor.com.
1.3 These general terms and conditions (hereinafter referred to as “User Terms”) apply between FeedsFloor and the user for all use of our Platform. By using the functionalities of FeedsFloor’s platform, the user agrees with the terms and conditions described in these User Terms for using our Platform as described herein, and as may be amended from time to time by us.
1.4 Definitions of users:
1.4.1 In these general terms and conditions, unless the contrary intention appears, the term “you” or “User” refers to any user or viewer, corporate or individual, of the Platform. The terms ‘Corporate User’ and ‘Individual User’ will have the meaning as described in the following:
1.4.1.1 Corporate Users are defined as User that can create and publish company content on the Platform, such as news, products, videos (hereinafter “Content”), create a network (hereinafter “Group”), organize an exhibition, exhibit at an exhibition or visit an exhibition (hereinafter “EXPO”). When a Corporate User organizes an EXPO, the Corporate User is referred to as the “Organizer”. When a Corporate User exhibits at an EXPO, the Corporate User is referred to as the “Exhibitor”. When a Corporate User visits an EXPO, the Corporate user is referred to as the “Visitor”. Usually Corporate Users are registered businesses.
1.4.1.2 Individual Users are defined as Users that cannot create and publish Content, create a Group, organize or exhibit at an EXPO. Individual Users can only browse through Content, become a member of a Group or visit an EXPO. Individual Users may be businesses or private persons.
1.5 FeedsFloor’s services are not available to persons under the age of 16 or to any Users previously suspended or removed from FeedsFloor.
1.6 You acknowledge that you have read, understood, and agree to be bound by these User Terms, including any additional guidelines and future modifications. If at any time you do not agree to these User Terms, please immediately terminate your use of the Platform.
2. Modifications to the User Terms
2.1 FeedsFloor reserves the right at its sole discretion to change these User Terms at any time. In case FeedsFloor decides to change these User Terms, it will post a new version under ‘Terms’ at the bottom of the website www.FeedsFloor.com and update the effective date set forth above. Any changes or modifications to these User Terms will be effective upon posting of the revisions. Your continued use of the Platform following posting of any changes or modifications constitutes your acceptance of such changes or modifications. You should therefore frequently review the User Terms and any other applicable policies.
2.2 FeedsFloor may discontinue or change any service or feature on the Platform at any time and without notice.

3. Scope of the User Terms
3.1 FeedsFloor has created a global social Platform, where companies can easily promote themselves and connect with potential customers, agents, distributors and suppliers from all over the world enabling new business opportunities.
3.2 In order to use the Platform, you must fill out an online form and sign up by creating a profile; either as an Individual User or a Corporate User. We ask you for the following information, when you fill out the form: name or company name, e-mail address and password.
3.3 With these User Terms, you are granted access to the Platform on the terms and conditions set out in these User Terms, the Privacy Policy and Disclaimer.
3.2 In order to use the Platform, you must fill out an online form and sign up by creating a profile; either as an Individual User or a Corporate User. We ask you for the following information, when you fill out the form: name or company name, e-mail address and password.
3.3 With these User Terms, you are granted access to the Platform on the terms and conditions set out in these User Terms, the Privacy Policy and Disclaimer.
4. FeedsFloor as a Platform provider
4.1 You are aware that your use of the Platform is without any responsibility for FeedsFloor, as FeedsFloor is only providing the Platform as a service to enable you to get in touch with other Users of the Platform.
4.2 We are not obliged to provide any background check or qualification and no approval procedure, system or process towards you and/or any other User of the Platform.
4.3 FeedsFloor is not responsible for our Users’ conduct. You must take all necessary precautions in all interactions with any other User of the Platform.
4.4 In no event shall FeedsFloor be liable (directly or indirectly) for any losses and damages resulting from communications between the Users of the Platform.
4.5 FeedsFloor is not responsible for third party activity providers and/or their services, including but not limited to Content, promotion, marketing, etc.
4.6 FeedsFloor is the sole owner of the rights to the Platform, functionalities of the Platform (hereinafter the “Functionalities”), trademark, domain, etc., and no rights other than necessary to legally and loyally using the Functionalities of the Platform shall be transferred to Users of the Platform.
4.2 We are not obliged to provide any background check or qualification and no approval procedure, system or process towards you and/or any other User of the Platform.
4.3 FeedsFloor is not responsible for our Users’ conduct. You must take all necessary precautions in all interactions with any other User of the Platform.
4.4 In no event shall FeedsFloor be liable (directly or indirectly) for any losses and damages resulting from communications between the Users of the Platform.

4.6 FeedsFloor is the sole owner of the rights to the Platform, functionalities of the Platform (hereinafter the “Functionalities”), trademark, domain, etc., and no rights other than necessary to legally and loyally using the Functionalities of the Platform shall be transferred to Users of the Platform.
5. The User’s obligations
5.1 FeedsFloor reserves the right to remove all Content and block or close a User account that has been found to submit adult or other harmful material, Content, pictures and the like. FeedsFloor decides solely which material is to be found harmful. Unauthorized use of the Platform may give rise to a claim for damages and/or be a criminal offence.
5.2 The following describes other kinds of illegal or harmful conduct that is strictly prohibited on the Platform.
5.2.1 You agree not to submit, offer links from or otherwise transmit any user content that:
5.2.1.1 is unlawful, harmful, threatening, offensive, inappropriate, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, known to be false and presented as truth, invasive of another's privacy, hateful, or intimidating to a group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability;
5.2.1.2 is harmful to minors in any manner;
5.2.1.3 you do not have a right to transmit under any law or under contractual or fiduciary relationships;
5.2.1.4 infringes the rights of others including any patent, trademark, trade secret, copyright or other proprietary rights of any person or entity;
5.2.1.5 is unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
5.2.2 Use an account name, file or directory name, or third level domain (i.e., abc.feedsfloor.com), or other identifier that infringes or misappropriates any trademark, service mark or other indicia of origin, or that is otherwise likely to cause confusion as to the source, affiliation, sponsorship or endorsement of a third party's products or services;
5.2.3 Attempt to disguise the origin of any User content transmitted to the Platform;
5.2.4 Act in any manner that negatively affects other Users' ability to use the Platform;
5.2.5 Use or authorize the use of any means to artificially or falsely drive user traffic to User Content that you or another User posts to the Platform, including the use of automated, fraudulent or deceptive processes;
5.2.6 Impersonate any person, business or entity, including, without limitation, our employees, a website moderator or a manufacturer or owner of any product, or falsely state or otherwise misrepresent your affiliation with a person or entity;
5.2.7 Interfere with the Platform, or impair our servers or networks connected to the Platform, or disobey any requirements, procedures, policies or regulations of networks connected to the Platform;
5.2.8 Access the Platform using a distributed network or other anonymizing service, such as Tor, for the purposes of cloaking your identity, creating multiple accounts, or gaining admittance to the Platform after you've had another account disabled;
5.2.9 Address employees of FeedsFloor in an abusive, threatening, harassing, offensive or otherwise distasteful manner.
5.2.10 Post or upload adult content.
5.2 The following describes other kinds of illegal or harmful conduct that is strictly prohibited on the Platform.
5.2.1 You agree not to submit, offer links from or otherwise transmit any user content that:
5.2.1.1 is unlawful, harmful, threatening, offensive, inappropriate, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, known to be false and presented as truth, invasive of another's privacy, hateful, or intimidating to a group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability;

6. Limitation of Liability
6.1 Due to the nature of the service provided, in general no liability incurs with FeedsFloor, as any potential liability lies between the Users.
6.2 If in extraordinary cases FeedsFloor should be liable, such liability is limited in the following ways:
6.2.1 No indirect loss is covered, including but not limited to loss of data, revenue loss, edition sales, etc.
6.2.2 Damages are under any circumstances limited to DKK 1000 per occurrence.
6.2.3 Only claims based on gross negligence or intent of FeedsFloor can be filed.
6.2.4 FeedsFloor is never liable for errors on the Platform, or underlying software, the services or any information provided by you. The Platform and all its Functionalities are provided to you “as is”.
6.2.5 Neither FeedsFloor nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the Content, information and materials found or offered on the Platform for any particular purpose. You acknowledge that such Content, information and materials may contain inaccuracies or errors, and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law. FeedsFloor makes no representations or warranties of any kind concerning any product or service offered or displayed on the Platform.
6.2.6 Your use of any Content, information or materials on the Platform is entirely at your own risk, for which FeedsFloor shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through the Platform meet your specific requirements.
6.2.7 The Platform includes links to other websites. These links are provided for your convenience to provide further information. They do not signify that we endorse the website(s). We have no responsibility for the content of the linked website(s).

FeedsFloor makes no representations or warranties of any kind concerning any product or service offered or displayed on the Platform.
6.2.6 Your use of any Content, information or materials on the Platform is entirely at your own risk, for which FeedsFloor shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through the Platform meet your specific requirements.
6.2.7 The Platform includes links to other websites. These links are provided for your convenience to provide further information. They do not signify that we endorse the website(s). We have no responsibility for the content of the linked website(s).
7. Request for Removal From our Database
7.1 If for any reason you would like to have your Content removed from the Platform, please contact our support team on support@feedsfloor.com and include with your request the URL of the Content to be removed. If for any reason you would like to terminate your account with FeedsFloor please contact support@feedsfloor.com.
8. Electronic delivery policy and your consent
8.1 You authorize us to provide you with required notices, agreements and information concerning FeedsFloor electronically. We will provide you with our notices either by sending them to the e-mail address that you give to us or by posting the notices on the home page of FeedsFloor or on the relevant web page of the applicable service. If you want to withdraw your consent to receive notices electronically, you must terminate your use of FeedsFloor.
9. Automated “crawling”
9.1 Automated “crawling” of FeedsFloor and its database is strictly monitored and prohibited.
10. Privacy Policy
10.1 Your use of the Platform is governed by FeedsFloor's Privacy Policy, which is available at Privacy Policy and incorporated by reference into these User Terms.
11. Copyrights
11.1 All trademarks and updates reproduced in the Platform, which are not the property of, or licensed to FeedsFloor, are acknowledged on the Platform. If you believe your Content, updates, logos etc. have been copied and posted on FeedsFloor in a way that violates your copyright or intellectual property rights, please contact us on support@feedsfloor.com.
11.2 FeedsFloor contains material, which is owned by or licensed to FeedsFloor. This material includes, but is not limited to, the design, name, logo, layout, look, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of the User Terms.
11.3 FeedsFloor respects the concept of intellectual property (IP) rights – including copyright – of others. FeedsFloor's policy is to act quickly to respond and solve claims of IP infringement in accordance with Danish laws. Resultant action may include the removal or disablement of access to any material or link claimed to be infringing. If the infringement is the result of an identified User of the Platform, this User's account may be terminated by us at our sole discretion and without notice.
11.4 Notifying FeedsFloor of IP Infringement: To provide FeedsFloor notice of an infringement, please email feedsfloor@feedsfloor.com. Please note that you may be liable for damages (including costs and legal fees) if you materially misrepresent that an activity is infringing your IP right.
11.5 Providing FeedsFloor with Counter-Notification: If we remove or disable access to Content in response to an infringement notice, we will make reasonable attempts to contact the User/owner of the affected site or content. If you feel that your material does not constitute infringement, please email feedsfloor@feedsfloor.com. Please note that you may be liable for damages (including costs and legal fees) if you materially misrepresent that an activity is not infringing the IP rights of others. If you are uncertain whether an activity constitutes infringement, we recommended seeking legal advice.
11.2 FeedsFloor contains material, which is owned by or licensed to FeedsFloor. This material includes, but is not limited to, the design, name, logo, layout, look, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of the User Terms.

11.5 Providing FeedsFloor with Counter-Notification: If we remove or disable access to Content in response to an infringement notice, we will make reasonable attempts to contact the User/owner of the affected site or content. If you feel that your material does not constitute infringement, please email feedsfloor@feedsfloor.com. Please note that you may be liable for damages (including costs and legal fees) if you materially misrepresent that an activity is not infringing the IP rights of others. If you are uncertain whether an activity constitutes infringement, we recommended seeking legal advice.
12. User Warranty
12.1 By uploading Content to the Platform, the User warrants to have all necessary permissions and all rights to the uploaded Content. The User will indemnify and hold FeedsFloor harmless from any claim, demand, loss, damages arising out of or in connection with your breach of these User Terms.
13. Payment
13.1 Both Corporate Users and Individual Users are entitled to register on the Platform free of charge and visit the EXPOs free of charge.
13.2 If an Exhibitor wants to Exhibit at a paid EXPO, the Exhibitor shall pay the price for the EXPO displayed on the Platform (hereinafter the “Payment”). After the Exhibitor has made the Payment, FeedsFloor will send a receipt of the Payment to the Exhibitor’s e-mail address.
13.3 In return for the Organizer’s work with creating, marketing and organizing an EXPO through FeedsFloor’s Platform, the Organizer is entitled to a fee of 80 % of the Payment to FeedsFloor for the Organizer’s services (hereinafter the “Service Fee”).
13.4 FeedsFloor will provide the Organizer with relevant information about Exhibitors and Exhibitor payments within 2 weeks after closing an EXPO.
13.5 FeedsFloor will initiate payment of the Service Fee to the Organizer within 30 business days after receiving an invoice with the correct amount, company information and reference i.e. EXPO identification.
13.6 If an Organizer cancels an EXPO, when a booking has already been confirmed to (an) Exhibitor(s), FeedsFloor will return the Payment to the Exhibitor(s). The Exhibitor is not entitled to a refund unless the Organizer cancels the EXPO. Neither FeedsFloor nor the Organizer shall have any further liability in connection with cancelling an EXPO.
13.2 If an Exhibitor wants to Exhibit at a paid EXPO, the Exhibitor shall pay the price for the EXPO displayed on the Platform (hereinafter the “Payment”). After the Exhibitor has made the Payment, FeedsFloor will send a receipt of the Payment to the Exhibitor’s e-mail address.
13.3 In return for the Organizer’s work with creating, marketing and organizing an EXPO through FeedsFloor’s Platform, the Organizer is entitled to a fee of 80 % of the Payment to FeedsFloor for the Organizer’s services (hereinafter the “Service Fee”).
13.4 FeedsFloor will provide the Organizer with relevant information about Exhibitors and Exhibitor payments within 2 weeks after closing an EXPO.
13.5 FeedsFloor will initiate payment of the Service Fee to the Organizer within 30 business days after receiving an invoice with the correct amount, company information and reference i.e. EXPO identification.
13.6 If an Organizer cancels an EXPO, when a booking has already been confirmed to (an) Exhibitor(s), FeedsFloor will return the Payment to the Exhibitor(s). The Exhibitor is not entitled to a refund unless the Organizer cancels the EXPO. Neither FeedsFloor nor the Organizer shall have any further liability in connection with cancelling an EXPO.
14. User Conduct
14.1 When you add Content to FeedsFloor, it is important that you assign it to the appropriate and relevant floor, region and language. If FeedsFloor find that Content has been assigned to a wrong floor, region and/or language, FeedsFloor is at its own discretion entitled to re-categorize the Content to the appropriate place or remove it completely.
15. Miscellaneous
15.1 If a section in these User Terms is not enforceable, the enforceability of that section will not affect any other sections of the User Terms.
16. Termination
16.1 These User Terms are in force until either the User resigns from use of the Platform or FeedsFloor terminates the User Terms. You may resign by disabling your account at any time without notice. FeedsFloor is entitled to terminate a user account immediately if the user violates the User Terms.
17. Applicable Law
17.1 Danish law governs the terms and conditions of these User Terms as well as any disputes that may arise from the User Terms or use of www.FeedsFloor.com.
17.2 Any disputes that may arise out of these User Terms, shall be settled in accordance with Danish law by the City Court of Copenhagen, Denmark.
